These Terms of Service (“Terms”) govern your access to and use of the website located at narrowdistrict.com (the “Site”) and the products and services offered by Narrow District LLC (“Narrow District,” “we,” “us,” or “our”). By accessing the Site or placing an order, you agree to be bound by these Terms and by our Privacy Policy, Return & Refund Policy, and Shipping Policy, each of which is incorporated herein by reference. If you do not agree, do not use the Site.
1. Eligibility and Account
You must be at least 18 years of age, or the age of majority in your jurisdiction of residence, to use the Site or to place an order. If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.
2. Use of the Site
You agree to use the Site solely for lawful purposes and in compliance with these Terms. You shall not: (a) violate any applicable law or regulation; (b) infringe the intellectual property or other rights of any third party; (c) interfere with or disrupt the Site, its servers, or its networks; (d) attempt to gain unauthorized access to any portion of the Site or any related systems or networks; (e) use any automated means — including bots, scrapers, or crawlers — to access, harvest, or collect data from the Site without our prior written consent; or (f) introduce viruses, malware, or other harmful code.
3. Products, Pricing, and Orders
Product descriptions, images, pricing, and availability are subject to change without notice. We reserve the right to limit quantities, refuse or cancel any order, and correct pricing or descriptive errors at any time, including after an order has been submitted. All orders constitute an offer to purchase and are subject to acceptance by Narrow District. Payment must be received in full before an order is processed. All amounts are stated in U.S. Dollars unless otherwise specified. Returns, exchanges, and shipping are governed by our Return & Refund Policy and Shipping Policy.
4. Intellectual Property
All content on the Site — including text, graphics, logos, product designs, photographs, video, audio, software, and the Narrow District name and marks — is the property of Narrow District LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, Narrow District grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for personal, non-commercial purposes. You shall not reproduce, distribute, modify, create derivative works of, publicly display, frame, or otherwise exploit any content from the Site without our prior written consent.
5. User Submissions
By submitting any content to the Site — including reviews, comments, photographs, or social-media tags involving Narrow District — you grant Narrow District a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, and display such content in connection with our business, in any media now known or later developed. You represent and warrant that you own or otherwise control all rights necessary to grant this license.
6. Text Messaging (SMS and RCS)
Narrow District operates a recurring text messaging program (the “Narrow District” messaging program) that sends promotional and personalized marketing messages, and messages about your orders, by SMS, MMS, and RCS.
By opting in you agree to receive recurring automated promotional and personalized marketing text messages from Narrow District at the number provided. Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe or HELP for assistance. Consent is not a condition of purchase.
How to join. You may opt in by entering your mobile number in a sign-up form on the Site, at checkout, or by texting a keyword we publish. By opting in you confirm that you are the subscriber of the mobile number provided or that you are authorized to consent on the subscriber’s behalf, and that you are at least 18 years old.
How to stop. Reply STOP to any message from us to end the program at any time. We will send one message confirming that you have been unsubscribed, and you will receive no further marketing messages unless you opt in again.
How to get help. Reply HELP to any message from us, or email contact@narrowdistrict.com.
Carriers and delivery. Mobile carriers are not liable for delayed or undelivered messages. Delivery is subject to your carrier and device, and supported carriers may change. Messages sent as RCS may be delivered as SMS or MMS where RCS is not supported.
Your information. Mobile numbers and consent collected for this program are handled as described in our Privacy Policy. We do not sell or share mobile opt-in information or consent with third parties for their own marketing purposes. Our messaging providers process this information only to deliver messages on our behalf.
Changes. We may change or end the messaging program at any time. Continued participation after a change takes effect is your acceptance of it.
7. Path Points Rewards Program
Narrow District offers an optional rewards program called Path Points (the “Program”). Points are earned on eligible purchases, have no cash value, cannot be transferred or sold, and can be redeemed only for District Credit on narrowdistrict.com. Points earned on orders that are cancelled, refunded, or unpaid will be removed. We may correct errors, remove points obtained through fraud or misuse, and change or end the Program as described in the Path Points Program Terms, which are incorporated into these Terms by reference. If the Program Terms conflict with these Terms on a matter specific to the Program, the Program Terms control.
8. Disclaimer of Warranties
THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, NARROW DISTRICT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NARROW DISTRICT, ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SITE OR ANY PRODUCT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT NARROW DISTRICT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NARROW DISTRICT IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.
10. Indemnification
You agree to indemnify, defend, and hold harmless Narrow District LLC and its officers, members, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of or access to the Site; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any content you submit to the Site.
11. Governing Law and Venue
These Terms and any dispute arising out of or related to them, the Site, or any product purchased through the Site shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. You agree that any action at law or in equity arising out of or relating to these Terms shall be filed exclusively in the state or federal courts located in that State, and you consent to the personal jurisdiction and venue of such courts. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
12. Termination
We may suspend or terminate your access to the Site at any time, with or without cause and with or without notice, including for any violation of these Terms. Provisions intended by their nature to survive termination — including intellectual property, user submissions, disclaimers, limitation of liability, indemnification, and governing law — shall survive.
13. Changes to These Terms
We may revise these Terms from time to time. The revised version will be posted on the Site with an updated effective date and will become effective upon posting. Your continued use of the Site after the effective date constitutes acceptance of the revised Terms.
14. Severability and Entire Agreement
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. These Terms, together with the policies referenced herein, constitute the entire agreement between you and Narrow District regarding the Site and supersede all prior agreements and understandings.
